    Senior Director of Corporate Development - Churchill Downs Incorporated (Louisville, KY)

    SUMMARY

    The Senior Director of Corporate Development will work closely with the Corporate Development team, Legal Department, and Senior Management to (i) assist in the development of corporate strategy, (ii) lead cross-functional teams to execute mergers & acquisitions as well as non-standard commercial arrangements and (iii) analyze and make recommendations concerning potential acquisition or organic growth opportunities. The successful candidate will be a self-starter confident in taking responsibility for execution of development projects from identification of the opportunity until closing, working with various corporate departments and outside resources along the way.  This position reports to the SVP, Corporate Development.

    ESSENTIAL DUTIES AND RESPONSIBILITIES include the following.  Other duties may be assigned.

    • Identify, evaluate, and execute potential corporate development opportunities including acquisitions, partnerships, new business concepts, and other growth initiatives
    • Contribute to the development and execution of CDI’s strategy and growth initiatives (e.g., brainstorming “investible ideas” that may be outside the scope of the current business but utilize skills that reside within the company or are adjacent to existing lines of business)
    • Provide leading role in deal structuring, negotiation, and completion of corporate development transactions, including both traditional merger & acquisition deals and non-standard, complex commercial arrangements (e.g., intellectual property licensing, joint venture agreements, etc.)
    • Manage due diligence, financial modeling, and feasibility analysis of potential corporate development transactions
    • Develop and deliver recommendations to Senior Management 

    SUPERVISORY RESPONSIBILITIES

    Supervises project personnel on an ad hoc basis

    EDUCATION and/or EXPERIENCE

    • Bachelor’s degree from four-year college or university

    • MBA or JD

    • 5-10 years in corporate development, investment banking, private equity or transaction execution

    • Experienced in structuring and negotiating transactions, leading transaction project teams

    • Demonstrated ability to develop new growth initiatives and “investable ideas”

    • Proven track record of managing multiple projects simultaneously while maintaining exceptional attention to detail

    • Strong quantitative, qualitative, and analytical ability

    • Excellent oral and written communication skills

    • Shows initiative; a “take it and run with it” mentality

    • Technology and/or gaming industry experience a plus
