    Legal: Compliance Officer
    Chief Compliance Officer - Churchill Downs Incorporated (Louisville, KY)

    Churchill Downs Incorporated (CDI) (NASDAQ: CHDN), headquartered in Louisville, Kentucky, is an industry-leading racing, gaming and online entertainment company anchored by our iconic flagship event – The Kentucky Derby.     The CDI legal department is looking for an experienced compliance officer responsible for overseeing and managing compliance across the company and ensuring that the company and its employees are complying with internal policies and procedures and regulatory requirements. The Chief Compliance Officer will support and report to the Senior Vice President and General Counsel. We are looking for someone who thrives in a fast paced environment and can take on additional legal and regulatory responsibilities as needed.

    SKILLS REQUIRED include the following:

    Attention to detail and accuracy; excellent written and oral communication skills; ability to manage and prioritize multiple projects simultaneously; and ability to work across departments. Ability to establish credibility and be decisive. Must have a proven track record of managing compliance across multiple properties.

    ESSENTIAL DUTIES AND RESPONSIBILITIES may include the following:

    A. Develops, maintains, manages and revises policies and procedures for the general operation of CDI’s compliance program and its related activities to prevent illegal, unethical, or improper conduct.

    B. Serves as CDI’s Anti-Money Laundering Officer, including oversight of the company-wide anti-money laundering program as well as the property-specific anti-money laundering programs.

    C. Knowledge and experience with PCI compliance, rules, regulations, policies, procedures, and standards of conduct in connection therewith.

    D. Develops and periodically reviews and updates standards of conduct, including CDI’s code of conduct and related anonymous hotline, to ensure continuing currency and relevance in providing guidance to management and employees.

    E. Collaborates with other departments (e.g., risk management, internal audit, human resources, etc.) to direct compliance issues to appropriate existing channels for investigation and resolution.

    F. Responds to alleged violations of rules, regulations, policies, procedures, and standards of conduct by evaluating or recommending the initiation of investigative procedures and develops and oversees a system for uniform handling of such violations.

    G. Monitors the performance of the compliance program and coordinates compliance activities of other departments and business units to remain abreast of the status of all compliance activities and to identify trends, risks, areas of improvement and corrective action plans.

    H. Provides reports on a regular basis, and as directed or requested, to keep the senior management and the Audit Committee of the Board of Directors informed of the operation and progress of compliance efforts.

    I. Ensures proper reporting to relevant agencies as appropriate and/or required.

    J. Works with the human resources department and others as appropriate to develop an effective compliance training program, including appropriate introductory training for new employees as well as ongoing training for all employees and managers.

    K. Manages other legal matters and projects as directed by Senior Vice President and General Counsel.

    SUPERVISORY RESPONSIBILITIES

    Dotted-line supervisory responsibility with property compliance functions.

    DESIRED EDUCATION and/or EXPERIENCE

    A Juris Doctorate from an accredited college or university and at least six (6) years of compliance and legal experience with a well-regarded law firm and/or in-house at a gaming or public company. Prefer Chief Compliance Officer or Deputy Chief Compliance officer experience. Must be licensed to practice law in the Commonwealth of Kentucky, eligible for reciprocity or otherwise eligible to obtain a limited certificate of admission to practice law in the Commonwealth of Kentucky solely for the Company under Kentucky Supreme Court Rule 2.111 – or eligible for reciprocity admission.

    TRAVEL

    Legal: General Counsel/Contractual Law
    Corporate Counsel - Churchill Downs Incorporated (Louisville, KY)

    The CDI legal department is looking for an experienced attorney with general corporate skills and/or relevant experience to join our team as Corporate Counsel. The Corporate Counsel will support the Senior Vice President and General Counsel in providing comprehensive legal counsel and legal risk analysis related to CDI’s operations. We are looking for someone who thrives in a fast-paced environment and enjoys working on a vast array of different issues on a day to day basis.

    SKILLS REQUIRED include the following:

    Attention to detail and accuracy; excellent written and oral communication skills; ability to manage and prioritize multiple projects simultaneously; and ability to think strategically, establish credibility, provide solutions and be decisive. Must have a proven track record of direct client contact.

    ESSENTIAL DUTIES AND RESPONSIBILITIES may include the following:

    A. Advising management on various legal issues;

    B. Drafting, negotiating and reviewing contracts;

    C. Managing litigation and business disputes, including coordination with outside counsel;

    D. Providing legal support and advice regarding a breadth of general corporate, securities and regulatory matters; and

    E. Other duties and projects assigned by Senior Vice President and General Counsel.

    DESIRED EDUCATION and/or EXPERIENCE

    Juris Doctorate from an accredited college or university and at least five (5) years of progressive legal experience with a well-regarded law firm and/or in-house at a public company. Public company and securities experience and commercial contracts experience is preferred. Knowledge of racing and/or gaming industry helpful, but not necessary. Experience with employment law is a plus. Must be licensed to practice law in the Commonwealth of Kentucky, eligible for reciprocity or otherwise eligible to obtain a limited certificate of admission to practice law in the Commonwealth of Kentucky solely for the Company under Kentucky Supreme Court Rule 2.111.
